Good governance means that our structures, activities and operations meet legal requirements, have probity, are transparent and are accountable.
Landcare Tasmania's governance structure is designed to ensure that the governing body has the skills needed to meet the increasingly complex regulations and expectations of the not-for-profit sector while at the same time ensuring members are represented and engaged in Landcare Tasmania's activities.
Our governance structure has been set up with the best possible arrangements to deliver our objectives and achieve our vision and mission. These arrangements were comprehensively reviewed in 2016-17 to address a number of areas of risk identified in the previous structure, and is reflected in the 2019 Constitution.
Organisational Structure
Constitution
Our Constitution is the overarching document that defines many of our planning, operational and governance requirements. The Constitution is established under the Associations Incorporations Act 1964 (Tasmania).
Landcare Tasmania's vision and mission is long term. To ensure that our short term activities and medium term ambitions align with this we work under a Strategic Plan.
Accountability
On an annual basis we ensure the accountability our activities are reported to the Australian Charities and Not-for-Profits Commission (Annual Information Statement and Audited Financial Statement) and, for our tax-deductible Tasmanian Landcare Fund, to the Register of Environmental Organisations. Key governance and accountability reports to the Annual General Meeting include audited financial statements and reports from the Chair and CEO. The AGM is open for all members of Landcare Tasmania to attend.
Board
Governance to ensure our activities are aligned with the interests of our members is delivered by a skills-based Board of 7 people. The Board is elected from the AGM on the basis of a recommendation of an appropriate set of Directors with the skills needed to meet our governance and strategic needs. Directors are elected for a period of 3 years.
Members Council
To provide a forum for members' interests we have a Members Council. The Members Council is a permanent subcommittee under the Constitution with the role of providing information, guidance and advice to the Board on strategic matters, to assist in implementation of Landcare Tas initiatives and activities, and also to play a key role in ensuring members views are sought and considered. The Member Council is a minimum of 10 people elected at the AGM for a period of 2 years.
Staff
Management of Landcare Tasmania's operations are delegated to the CEO, who coordinates the work of a small but dedicated team of staff to support our members and ensure the day to day operation of the organisation.
Members
Landcare Tas members are 'care' groups, individuals and associate members. We provide a wide range of services to all members, but only group members have voting rights through the Annual General Meeting.
